Meditag - Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Meditag South Africa (Pty) Ltd ("Meditag," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our services. These Terms constitute a legally binding agreement between you and Meditag.

These Terms apply to all users, including individuals, healthcare providers, and organizations.
We may update these Terms periodically, and continued use after such updates constitutes acceptance of the revised Terms. We will notify you of significant changes via email or through our platform.

2. Services

Meditag provides AI-driven medical tagging solutions, including but not limited to the Emergency Medical Information (EMI) Service, Video Consultations, and Meditag AI (where available), subject to the following:

Meditag is a technology platform and does not provide medical services. We facilitate connections to healthcare providers, who are solely responsible for the medical advice and services they offer.
Services are provided "as is" and may be modified, suspended, or discontinued at our discretion with reasonable notice where possible.
Access to services requires a valid account, registration with the Companies and Intellectual Property Commission (CIPC), and compliance with these Terms and applicable laws.
Certain features may be subject to beta testing or additional terms, as indicated on our platform.

3. User Responsibilities

You agree to:

Provide accurate, current, and complete information during account creation and updates.
Maintain the confidentiality and security of your account credentials, including passwords, and notify us immediately of any unauthorized use.
Use our services solely for lawful purposes and in accordance with these Terms, applicable laws, and healthcare regulations (e.g., HIPAA, GDPR).
Not interfere with or disrupt the integrity or performance of our services or attempt to gain unauthorized access.

For healthcare providers using the platform, you must:

Hold a current and valid registration with the Health Professions Council of South Africa (HPCSA).
Notify Meditag South Africa immediately, without delay, of any changes to your HPCSA registration status.

4. Privacy

Your use of our services is governed by our Privacy Policy, which details how we collect, use, store, and protect your personal and medical data. We comply with the Protection of Personal Information Act (POPIA) of South Africa, in addition to HIPAA and GDPR.

Under POPIA, we process personal information lawfully, ensuring it is collected for specified purposes, minimized to what is necessary, and secured against unauthorized access or loss.
You have the right to request access to, correction of, or deletion of your personal information, subject to legal exceptions, by contacting us at support@meditag.co.za.
We may share data with third parties (e.g., healthcare providers) only as necessary and with your consent, unless required by law, and we ensure such third parties comply with POPIA.
You consent to the processing of your data as outlined in the Privacy Policy, including for service delivery, compliance, and marketing purposes (where opted in).

5. Security

Meditag is committed to maintaining a secure environment for your data. We implement reasonable technical and organizational measures to protect your personal and medical information from unauthorized access, loss, or damage.

While we strive to ensure the security of our platform, we cannot guarantee the absolute prevention of data breaches due to the nature of online systems.
In the event of a data breach, we will notify affected users and relevant authorities as required by law, including POPIA, and take steps to mitigate any harm.
You are responsible for maintaining the security of your account credentials and promptly reporting any suspected security incidents to us.

6. Intellectual Property

All intellectual property rights in the Meditag platform, including trademarks, patents, designs, and content, are owned by Meditag South Africa (Pty) Ltd or its licensors.

You may not reproduce, modify, distribute, or create derivative works from our intellectual property without prior written consent.
Registering a company name with CIPC does not automatically confer trademark rights; separate registration is required via https://iponline.cipc.co.za/.
Any feedback or suggestions you provide may be used by Meditag without obligation to you.

7. Payment and Fees

Access to certain Meditag services may require payment of fees as outlined in our pricing plans (available at meditag.co.za/pricing).

Fees are charged in South African Rands (R) and are non-refundable, including for any used days of paid subscriptions.
Payment is due as per the billing cycle (monthly or annual) selected, with failure to pay potentially leading to service suspension or termination.
We reserve the right to change fees with prior notice, and continued use after such changes constitutes acceptance.

8. Limitation of Liability

Meditag South Africa (Pty) Ltd is not liable for:

Indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services.
Service interruptions due to maintenance, technical issues, or unforeseen events beyond our control.
Any reliance on the accuracy or completeness of data provided by users or third parties.

Our total liability shall not exceed the fees paid by you to Meditag in the twelve (12) months preceding the claim.

9. Termination

We may terminate or suspend your account for:

Material breach of these Terms, including unauthorized use or non-payment.
Fraudulent activity, as determined at our sole discretion.
Non-compliance with CIPC or legal obligations.

You may terminate your account at any time via your account settings, subject to any outstanding fees. Upon termination, your data may be retained for a period required by law before deletion.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of Johannesburg, South Africa.

You agree to submit to the exclusive jurisdiction of these courts.
Nothing in these Terms limits our rights to seek injunctive relief in any jurisdiction.
